This seems to be a bug, that the key is not getting cleared regardless of the number of reboots. This issue can affect many things, such as failover cluster validation.This blog contains the registry keys that determine if a reboot is pending: It was helpful in finding our particular problem

    Computer Constantly Rebooting

    That bug has been seen in the 945 chipset aswell from gigabyte, also ive seen reports about this problem or so called "bug" in p45 chipset too from gigabyte.

    However, its unclear what motherboard he have because its an Dell computer, so its OEM....

    Constant Pending Reboot

    For some reason, I constantly get errors when installing anything (from Windows updates to VPNs to other random software) due to a "pending reboot". So far I've rebooted countless times and nothing has changed. How can I get rid of a pending reboot?
